This End User License Agreement ("EULA") is between you (the "User") and Best Decision Business Inc. ("BDB," "we," "us"), a US corporation, and covers your use of the BD Financial IQ application ("BDFIQ" or the "Software").
This EULA works alongside the BDFIQ Terms of Service and Privacy Policy. The Terms of Service govern your relationship as a customer of the Service; this EULA specifically governs the software license. Where the documents overlap, the Terms of Service control on commercial terms and this EULA controls on software-license-specific terms.
Pre-launch note: BDFIQ is in active development and the application is not yet generally available. This EULA becomes operative when the Software is made available to a User and is accepted as part of account creation. This document is published now so prospective customers can review the license terms before signing up.
Subject to your compliance with this EULA, the Terms of Service, and timely payment of subscription fees, BDB grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software during the term of your subscription, solely for the internal business purposes of your organization.

The license does not include any right to access BDFIQ's underlying source code, models, algorithms, infrastructure, or proprietary tooling except where explicitly provided.
Except as expressly permitted in this EULA, you agree not to:
BDFIQ is delivered as a cloud-hosted Software-as-a-Service. BDB may update, modify, add, or remove features of the Software from time to time. We aim to update without breaking customer workflows; some updates will be silent, others will be announced via in-app notification or email.
BDB reserves the right to make material changes to the Software's feature set, user interface, or supported integrations. Where a material change removes a feature you actively rely on, we'll provide reasonable advance notice (typically 30 days or longer where practicable) so you can adjust workflows or export data.
Pricing changes are governed by the Terms of Service, not this EULA. Your Founder's rate (if applicable) is locked under the Founder's Promise.
This EULA remains in effect for the duration of your BDFIQ subscription. The EULA terminates automatically when:
Upon termination, you must cease use of the Software. Provisions of this EULA that by their nature should survive termination (including license restrictions, IP ownership, disclaimers, limitations of liability, indemnification, confidentiality, and governing law) survive.
The Software is provided "AS IS" and "AS AVAILABLE". To the maximum extent permitted by applicable law, BDB disclaims all warranties, express or implied, including (without limitation) implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, quiet enjoyment, and any warranty arising out of course of dealing or usage of trade.
BDB does not warrant that the Software will be uninterrupted, error-free, secure against every possible attack, or compatible with every third-party tool you may attempt to integrate. We do warrant that we will operate the Software in line with reasonable industry security practices and the commitments in the Privacy Policy.
BDFIQ is not a substitute for licensed tax, legal, or accounting advice. Users are responsible for engaging qualified professionals (CPAs, tax preparers, attorneys) for advice that requires professional judgment.
To the maximum extent permitted by applicable law, in no event will BDB or its officers, employees, contractors, or affiliates be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including (without limitation) lost profits, lost data, lost business opportunity, business interruption, or cost of substitute services, arising out of or related to the Software or this EULA — even if BDB has been advised of the possibility of such damages.
BDB's total aggregate liability under this EULA and the Terms of Service combined is limited to the greater of (a) the amount you paid BDB for the Software in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred US dollars ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the above limitations apply to the maximum extent permitted by law.
BDB owns the Software. All rights, title, and interest in and to the Software, including all source code, models, algorithms, user-interface designs, documentation, trademarks, logos, and proprietary tooling, are and remain the exclusive property of BDB and its licensors. This EULA does not transfer ownership of any of these to you; it grants a license to use the Software as described in section 2.
You own your data. Customer data — the accounting records, customer lists, vendor records, attachments, and exports you create through your use of the Software — is and remains yours. BDB holds a limited license to use that data to operate the Software for you, as described in the Terms of Service and Privacy Policy.
If you provide feedback, suggestions, or improvement ideas about the Software, BDB may use that feedback freely to improve the Software, without obligation or compensation, provided BDB does not identify you publicly as the source of the feedback without your consent.
Each party may receive confidential information from the other during the term of this EULA. Confidential information includes (without limitation) non-public technical, financial, business, customer-list, or pricing information disclosed in connection with the Software.

These obligations do not apply to information that is publicly available without breach of this EULA, was independently developed without reference to the disclosing party's confidential information, was rightfully received from a third party without confidentiality obligations, or is required to be disclosed by law (with prompt notice to the disclosing party where legally permitted).
The Software is subject to US export control laws and regulations. You agree to comply with all applicable export and re-export restrictions and not to use the Software in any country subject to comprehensive US sanctions, or by any person or entity on a US government denied-party list.
You represent that you are not located in, under the control of, or a national or resident of any such country or on any such list.
This EULA is governed by the laws of the State of [State to be finalized at launch], United States, without regard to its conflict-of-law principles. Any dispute arising out of or related to this EULA will be resolved exclusively in the state or federal courts located in that jurisdiction, and both parties consent to the personal jurisdiction of those courts.
Neither party may bring claims under this EULA as a class action, collective action, or representative action.
If any provision of this EULA is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will continue in full force and effect. The parties intend that any unenforceable provision be modified by the court to the extent necessary to make it enforceable while preserving the original intent.
This EULA, together with the BDFIQ Terms of Service and Privacy Policy, constitutes the entire agreement between you and BDB with respect to the Software and supersedes all prior or contemporaneous agreements, proposals, or representations, whether written or oral, on the subject. No modification or waiver of any provision of this EULA is effective unless in writing and signed (or electronically agreed) by both parties.
BDB may update this EULA from time to time. Material changes will be communicated by email to active customers and posted on this page with a new "Last Updated" date. Continued use of the Software after the effective date of a material change constitutes acceptance of the updated EULA.
