1. Acceptance of These Terms

These Terms of Service ("Terms") govern your use of the marketing website at bestdecisionfinancialiq.com and, once the BDFIQ application launches, the BDFIQ application itself (collectively, the "Service"). The Service is operated by Best Decision Business Inc. ("BDB," "we," "us"), a US corporation.

By visiting the marketing site, joining the waitlist, submitting a contact form, or (after launch) creating a BDFIQ account, you agree to these Terms. If you don't agree, don't use the Service.

2. Pre-Launch Status

BDFIQ is currently a pre-launch product in active development. Until launch, the Service consists primarily of:

• The marketing website (informational pages, the FAQ, the pricing page, comparison pages).
• The waitlist signup form.
• The general contact form.

The BDFIQ application itself is not yet available to customers. We do not collect payment to join the waitlist, and we make no promise of a specific launch date. Features described on the marketing site reflect current development direction and may change before launch.

3. Your Account

When the BDFIQ application becomes available, account holders must:

• Be at least 18 years old (or the age of majority in your jurisdiction).
• Provide accurate and current account information.
• Keep your password and any account credentials secure.
• Promptly notify us of any unauthorized access or security breach.
• Take responsibility for all activity that occurs under your account.

You may not share your individual login credentials with other people. If your subscription includes multiple seats, each user should have their own login.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Infringe anyone's intellectual property, privacy, or other rights.
• Send spam, phishing attempts, or other unsolicited bulk communications via the Service (e.g., through the invoicing module to non-customers).
• Reverse-engineer, decompile, or attempt to extract the underlying source code, models, or proprietary algorithms of the Service except where applicable law expressly permits.
• Use the Service to run accounting for entities you don't legitimately operate or aren't authorized to access (e.g., access another person's books without their authorization).
• Attempt to disrupt, overload, or circumvent the security of BDB's infrastructure (denial-of-service attempts, vulnerability scanning without authorization, etc.).
• Resell, sublicense, or repackage the Service for use by third parties as a hosted product without a separate written agreement.

We reserve the right to suspend or terminate any account that materially violates these acceptable use rules, with notice where practicable.

5. Payment and Billing

Pre-launch: No payment is required to join the waitlist or use the marketing site.

Post-launch (placeholder — final terms at launch):

• BDFIQ is a paid subscription service. Pricing tiers and rates are announced at launch.
• Subscriptions are billed monthly in advance via Stripe.
• Your Founder's rate (if applicable) is locked for the life of your subscription per the Founder's Promise. We do not raise prices on existing subscribers when new subscribers pay more.
• Sales tax may be added where applicable.
• Failed payments may result in account suspension after notice. Account access is restored when payment is current.

6. Data Ownership

You own your data. Every transaction, customer record, vendor record, invoice, journal entry, CSV import, and attachment you put into BDFIQ remains yours. We store it on BDB's servers per the Privacy Policy, but ownership doesn't transfer.

You may export your data to Excel and PDF at any time during your subscription. We will not sell your data, train external AI models on your data, or share it with advertising networks or data brokers.

BDB does have a limited license to use your data to deliver the Service to you — for example, to display your reports, send your invoices, run anonymized aggregate usage analytics to improve the product. This license ends when your account is fully deleted at the end of the retention window.

7. Cancellation and Termination

You can cancel your BDFIQ subscription at any time from within the application. There are no long-term contracts and no early-termination fees.

When you cancel:

• Billing stops at the end of the current billing period (no future charges).
• You retain read-only access for the duration of the data retention window (industry-standard 12-24 months — final number specified in the EULA at launch). During this window you can export anything or reactivate your subscription.
• At the end of the retention window, your account and the data in it are permanently deleted from live systems. Encrypted backup copies age out per the rolling backup schedule.

We may terminate or suspend an account for material breach of these Terms (e.g., chargebacks, fraud, repeated acceptable-use violations) with notice where practicable. You retain the right to export your data before termination except in cases of court order or fraud investigation.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available". To the maximum extent permitted by law, BDB disclaims all warranties, express or implied, including (without limitation) warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted availability.

We do our best to keep the Service running, secure, and accurate, but we do not warrant that it will always be error-free, free of bugs, or available without interruption. You should keep your own backups of critical data via the export functionality.

BDFIQ is software for managing your books. It is not a substitute for licensed tax, legal, or financial advice. We expect customers to engage a CPA or tax professional for tax filings, complex accounting decisions, and regulatory compliance matters.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will BDB or its officers, employees, contractors, or affiliates be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including (without limitation) lost profits, lost data, lost business opportunity, or business interruption, arising out of or related to your use of the Service — even if BDB has been advised of the possibility of such damages.

BDB's total aggregate liability for all claims arising out of or related to these Terms or your use of the Service is limited to the greater of (a) the amount you paid BDB for the Service in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred US dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the above limitations apply to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify and hold harmless BDB and its officers, employees, contractors, and affiliates from any third-party claim, loss, or expense (including reasonable attorneys' fees) arising out of: (a) your violation of these Terms, (b) your violation of any law or regulation in your use of the Service, (c) your violation of any third-party right (including intellectual property or privacy rights) through your use of the Service, or (d) the content of any data you upload to or process through the Service.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of [State to be finalized at launch], United States, without regard to its conflict-of-law principles.

Any dispute arising out of or related to these Terms or your use of the Service will be resolved through good-faith negotiation between the parties. If negotiation fails, the dispute will be brought exclusively in the state or federal courts located in that jurisdiction, and both parties consent to the personal jurisdiction of those courts.

Neither party may bring claims under these Terms as a class action, collective action, or representative action.

12. Changes to These Terms

These Terms will be updated when the paid Service launches, and may be updated periodically thereafter. Material changes will be communicated by email to active customers and posted on this page with a new "Last Updated" date. Continued use of the Service after the effective date of a material change constitutes acceptance of the updated Terms. If you don't agree with a material change, your remedy is to stop using the Service and (if applicable) cancel your subscription.
